By using our Services, you agree to be bound by these Terms. If you don't agree to be bound by these Terms, do not use the Services.

If you want to use certain features of the Services you'll have to create an account ("Account"). • Using any automated system to access the Services in a manner that sends more request messages to the ReciproRx servers than a human can reasonably produce in the same period of time
• Attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services
• Uploading invalid data, viruses, worms, or other software agents through the Services
• Collecting or harvesting any personally identifiable information from the Services
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
• Interfering with the proper working of the Services
• Bypassing the measures we may use to prevent or restrict access to the Services

The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (the "ReciproRx Content"), and all Intellectual Property Rights related thereto, are the exclusive property of ReciproRx and its licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any ReciproRx Content.

"User Content" means any content that Account holders (including you) provide to be made available through the Services. You are solely responsible for your User Content. You represent and warrant that you own all your User Content or you have all rights that are necessary to grant us the license rights in your User Content under these Terms. By providing User Content, you grant ReciproRx a non-exclusive, transferable, sub-licensable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Content in connection with operating and providing the Services.

The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products or services on or available from those websites or resources or links displayed on such websites.

You will pay all fees specified in any order forms or subscription plans you enter into with ReciproRx. Except as otherwise specified herein or in an order form, fees are quoted and payable in United States dollars, and fees are non-refundable.

We may terminate your access to and use of the Services, at our sole discretion, at any time and without notice to you. Upon any termination, discontinuation or cancellation of Services or your Account, the following provisions will survive: Intellectual Property, User Content, Disclaimer of Warranties, Indemnity, Limitation of Liability, Governing Law and Jurisdiction, and Miscellaneous.

You will indemnify and hold harmless ReciproRx and its officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (i) your access to or use of the Services or ReciproRx Content, (ii) your User Content, or (iii) your violation of these Terms.

These Terms and any action related thereto will be governed by the laws of the State of Florida without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in Broward County, Florida, and each of the parties hereto submits to the personal jurisdiction of such courts.

These Terms constitute the entire and exclusive understanding and agreement between ReciproRx and you regarding the Services and ReciproRx Content. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. You may not assign or transfer these Terms, by operation of law or otherwise, without ReciproRx's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. ReciproRx may freely assign or transfer these Terms without restriction.
